Prime Advice Acted as Legal Advisor in the Sale of Rive Gauche

Prime Advice acted as legal advisor in the transaction for the sale of the perfume and cosmetics retail chain Rive Gauche to Wildberries & Russ (RVB LLC).

Prime Advice advised on the sale of the Rive Gauche chain to Wildberries & Russ on behalf of one of the shareholders and founders of Rive Gauche, Larisa Karaban.

The transaction became a logical continuation of the strategic partnership announced by Wildberries and Rive Gauche on September 26, 2025. As part of the partnership, Rive Gauche stores were connected to Wildberries’ pickup service and received their own dedicated section in the marketplace’s perfume and cosmetics catalog.

Prime Advice experts were involved from the very beginning of the negotiation process and the development of the transaction structure, prepared the full set of transaction documentation, provided tax advisory services, as well as support for the closing and settlements under the transaction, including the international scope.

The Prime Advice team was led by Natalia Dyatlova, Head of the International Legal Practice. Our team took an active part in the comprehensive legal support of the transaction at all stages: from the preliminary risk assessment and negotiations with all parties to the transaction to the coordination of the final terms and the direct closing and settlements. The work was carried out under very tight deadlines, involved complex transaction structuring with an international element, and a challenging negotiation process between the shareholders and the buyer.
